We collect information you provide directly, information collected automatically, and information from third parties in connection with delivering our services.

Information you provide directly:

• Name, email address, phone number, and business details submitted through our onboarding forms or contact forms
• Business information including services, pricing, operating hours, and customer communication preferences
• Payment information processed through our third-party payment processor (Stripe). We do not store credit card numbers or full payment details on our servers
• Communications you send to us via email or our website

Information collected automatically:

• IP address, browser type, operating system, and device identifiers
• Pages visited, time spent on pages, and referring URLs
• Cookies and similar tracking technologies as described in Section 7

2. How We Use Your Information

We use the information we collect for the following purposes:

• To deliver, configure, and maintain the AI systems and services you have subscribed to
• To process payments and manage your subscription
• To communicate with you regarding your account, service updates, and support
• To improve our services, troubleshoot issues, and conduct internal analysis
• To comply with applicable legal obligations and enforce our Terms of Service
• To send service-related communications including onboarding instructions and billing notices

We do not sell your personal information to third parties. We do not use your information for targeted advertising.

3. Sharing of Information

We share your information only in the following limited circumstances:

• Service providers: We share data with trusted third-party vendors who assist in operating our platform, including GoHighLevel (platform infrastructure), Stripe (payment processing), and Twilio (SMS and voice communications). These providers are contractually bound to use your information only to provide services to us
• Legal compliance: We may disclose information if required by law, subpoena, or government request, or when we believe disclosure is necessary to protect the rights, safety, or property of Tonext AI, our clients, or the public
• Business transfers: In the event of a merger, acquisition, or sale of assets, your information may be transferred. We will notify you via email or prominent website notice before your information is transferred and becomes subject to a different privacy policy

4. Data Retention

We retain your personal information for as long as your account is active or as needed to provide you services. Upon cancellation of your subscription, we retain your data for a period of 90 days to allow for account reinstatement. After 90 days, personal data is permanently deleted from active systems. Anonymised, aggregated data may be retained indefinitely for analytical purposes.

5. Your Rights

Depending on your location, you may have the following rights regarding your personal information:

• Access: Request a copy of the personal data we hold about you
• Correction: Request correction of inaccurate or incomplete data
• Deletion: Request deletion of your personal data, subject to our legal obligations
• Portability: Request your data in a structured, machine-readable format

6. SMS and Voice Communications

Our services include automated SMS messages and AI voice calls delivered on behalf of our business clients to their customers. All SMS communications are conducted in compliance with the Telephone Consumer Protection Act (TCPA) and A2P 10DLC carrier regulations. Recipients of such communications have the right to opt out at any time by replying STOP to any SMS message. We honour all opt-out requests promptly and maintain suppression lists to prevent future contact. SMS communications are only sent to individuals who have explicitly provided their consent to receive messages by submitting an opt-in form, completing an intake process, or otherwise affirmatively agreeing to receive communications from us and our clients."

We use cookies and similar technologies to operate our website and improve user experience. These include essential cookies required for site function and analytics cookies that help us understand how visitors use our site. You may disable non-essential cookies through your browser settings. Disabling cookies may affect some website functionality.

8. Security

We implement industry-standard technical and organisational security measures to protect your information, including encryption in transit (TLS), access controls, and regular security reviews. However, no method of transmission over the internet is 100% secure. We cannot guarantee absolute security and encourage you to use strong passwords and protect your account credentials.

9. Children's Privacy

Our services are not directed to individuals under the age of 18. We do not knowingly collect personal information from minors. If you believe a minor has provided us with personal information, please contact us and we will promptly delete it.

10. Changes to This Policy

We may update this Privacy Policy periodically. We will notify you of material changes by posting the updated policy on our website with a revised effective date and, where appropriate, by sending an email notification to active subscribers. Continued use of our services after the effective date constitutes acceptance of the revised policy.

1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Tonext AI Solutions LLC, a Virginia limited liability company ("Tonext AI," "we," "our," or "us"). These Terms govern your access to and use of our AI business automation services, website, and all related systems.

2. Services

Tonext AI provides done-for-you AI business system services including but not limited to AI chat agents, AI voice receptionists, automated follow-up sequences, appointment booking systems, reputation management automation, and business dashboard access ("Services").

Services are delivered in two subscription modes:

• Full Service ($5,999/month): Active building, training, and improvement of your AI system by Tonext AI
• Software Mode ($2,999/month): Platform maintenance and monitoring with no active service work

We reserve the right to modify, update, or discontinue any feature of the Services with reasonable notice. Material changes to core Services will be communicated at least 14 days in advance.

3. Subscription, Billing, and Cancellation

Billing: Subscriptions are billed monthly in advance on the date of initial payment. All fees are in US dollars. Payment is processed through Stripe.

Automatic renewal: Subscriptions renew automatically each month unless cancelled. By subscribing, you authorise us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time with no cancellation fee. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

Refunds: A full refund is available only if requested before your onboarding document is submitted to us. Once your AI system training has commenced, all fees are non-refundable. This policy exists because significant time and resources are committed to your project upon receipt of your onboarding document.

Failed payments: If a payment fails, we will attempt to charge your payment method up to three times over seven days. Failure to resolve payment may result in suspension or termination of your Services.

4. Client Responsibilities

You agree to:

• Provide accurate, complete, and lawful information in your onboarding document and all subsequent communications
• Ensure all customer data you share with us is obtained lawfully and with appropriate consent
• Comply with all applicable laws governing your business operations, including without limitation the TCPA, CAN-SPAM Act, and applicable state consumer protection laws
• Obtain all necessary consents before using our automated SMS, email, and voice communication features to contact your customers
• Not use our Services for any unlawful, deceptive, fraudulent, or abusive purpose
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access

You acknowledge that the effectiveness of our Services depends substantially on the accuracy and completeness of the information you provide. Tonext AI is not liable for deficiencies in service performance resulting from incomplete, inaccurate, or delayed information from you.

5. Intellectual Property

Our IP: All systems, software, workflows, automation templates, proprietary methodologies, and materials created or used by Tonext AI in delivering the Services remain the exclusive intellectual property of Tonext AI Solutions LLC. No license to our underlying technology is granted to you beyond the right to use the Services as described herein.

Your content: You retain ownership of all content, data, and materials you provide to us. By providing such materials, you grant Tonext AI a limited, non-exclusive licence to use them solely for the purpose of delivering your Services.

Work product: AI system configurations, trained conversation flows, and automation workflows built specifically for your business remain accessible to you during your subscription. Upon cancellation, access to these configurations through our platform ceases.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TONEXT AI SOLUTIONS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE TOTAL FEES PAID BY YOU TO TONEXT AI IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TONEXT AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES, REVENUE INCREASES, OR RESULTS FROM USE OF OUR SERVICES. ANY PERFORMANCE ESTIMATES OR CASE STUDY RESULTS REFERENCED ON OUR WEBSITE ARE ILLUSTRATIVE AND NOT GUARANTEED. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SERVICES.

8. Indemnification

You agree to indemnify, defend, and hold harmless Tonext AI Solutions LLC and its members, managers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) any content or data you provide to us; or (e) your business operations including your use of automated communications with your customers.

9. Third-Party Platforms

Our Services are built on third-party platforms including GoHighLevel, Twilio, Google, Meta, and Stripe. We are not responsible for the availability, performance, or policy changes of these third-party platforms. Outages or policy changes by these providers are outside our control and do not constitute a breach of these Terms. We will communicate known platform issues proactively and work to resolve them as quickly as reasonably possible.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall first be submitted to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association in Richmond, Virginia. You waive any right to participate in class action litigation or class-wide arbitration.

12. Termination

Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your access to the Services immediately, without notice, if you breach these Terms, engage in fraudulent activity, or use the Services in a manner harmful to us or third parties. Upon termination, all rights granted to you under these Terms immediately cease.

13. Entire Agreement and Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tonext AI with respect to the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
